1. Agreement and scope
These Terms govern access to Webinku Agents and related websites, dashboards, AI-agent tools, knowledge storage, voice settings, and support services. By creating an account, creating an agent, or using the service, you agree to these Terms and the Privacy Policy. If you use Webinku for an organization, you confirm that you have authority to bind it.
2. Accounts and authority
You must provide accurate information, protect your credentials, and promptly report unauthorized access. You are responsible for activity under your account and for choosing who may administer a workspace. The service may be used by an individual or on behalf of a company.
3. Your agents and instructions
You control each agent’s instructions, knowledge, activation state, working-hours information, handoff rules, voice settings, calling permissions, and commercial limits. Agents are tools and may produce incorrect or incomplete output. You must test, supervise, and review them for your use case, especially before relying on output involving money, safety, legal rights, regulated services, or customer commitments.
4. Customer communications and human handoff
You must tell customers when legally required that they are interacting with an AI system and obtain any required consent for recording, calling, voice notes, or processing personal data. When a human operator takes over a Webinku conversation, the configured AI is paused for that thread until the operator releases it. You remain responsible for staffing, response times, and the accuracy of published human-support hours.
5. Acceptable use
You may not use Webinku to break the law, deceive or impersonate others without authorization, harass people, facilitate violence, exploit minors, violate intellectual-property or privacy rights, distribute malware, evade safeguards, conduct unauthorized surveillance, send unlawful spam, or make high-impact decisions without appropriate human review. You may not instruct an agent to conceal unlawful conduct or misrepresent prices, discounts, availability, or authority.
6. Commercial authority and discounts
Discounts are disabled by default. If enabled, you must set accurate percentage or fixed-amount limits and monitor the agent. Webinku does not authorize an agent to enter contracts, issue refunds, make warranties, incur debt, or bind you unless you expressly configure a lawful workflow and provide the required human approval. Your business remains responsible for prices, taxes, advertising, consumer disclosures, and fulfillment.
7. Calling and voice features
Voice notes and business calls may be enabled only for legitimate business purposes and only after a customer initiates contact or an authorized owner requests the contact, according to the selected policy. You are responsible for consent, caller identification, recording notices, do-not-call requirements, and provider terms. Third-party voice and telephony services may have separate fees, licenses, availability limits, and commercial-use restrictions.
8. Your content and business data
You retain ownership of content you upload or provide, including price lists, policies, instructions, and customer data. You grant Webinku a limited right to host, process, transmit, and use that content only as necessary to provide, secure, support, and improve the service. You represent that you have the rights and lawful basis needed to provide it.
9. Confidentiality and security
Webinku uses access controls and other safeguards designed to protect workspace data, but no system is perfectly secure. You must avoid uploading unnecessary sensitive data, configure access appropriately, and keep independent records where required. Notify us promptly if you suspect a security incident.
10. Third-party services
Webinku may interoperate with providers such as Supabase, Vercel, OpenAI, ElevenLabs, Meta, WhatsApp, and future messaging or telephony services. Their services are governed by their own terms and may change or become unavailable. Messaging and voice features require eligible provider accounts, approvals, credentials, customer consent where required, and compliance with the provider's policies.
11. Fees, changes, and suspension
Eligible new workspaces receive one 14-day trial beginning when the workspace is created. Choosing a plan during the trial does not restart or extend it. If billing details are added during a valid trial, the selected paid subscription begins when that recorded trial ends unless checkout clearly states otherwise.
When you upgrade an active paid plan during a billing term, the unused value of the current plan is credited against the price of the new plan for the remaining time. The exact prorated amount is calculated by our payment provider at the time of the change. Usage already consumed during the current period carries forward and is not reset by upgrading. The next renewal is charged at the then-disclosed full price of the selected plan. Downgrades normally take effect at the next renewal and do not create a retroactive refund unless required by law.
Paid plans, included usage, overage rates, applicable taxes, renewal terms, and any separate third-party usage charges will be shown before purchase. The price accepted at checkout remains fixed for that billing term. We may change prices prospectively for a later renewal or new purchase, but will provide at least 30 days' notice of a material subscription-price increase where practical and lawful. You may cancel before the changed price takes effect. We will not retroactively increase the price of usage already purchased.
Usage is measured using the billing unit displayed with the plan. Unless a plan expressly says otherwise, human-only messages, failed agent responses, and usage generated solely by Webinku's internal testing are not billable AI replies. Voice, telephone, messaging-provider, and premium-model charges may be separate when clearly disclosed before activation. Custom design, development, consulting, and other manually fulfilled services are not included in a Webinku Agents subscription and are not sold through its subscription checkout.
We may limit or suspend access when reasonably necessary to address security, abuse, legal risk, non-payment, a configured spending limit, or material breach, and will provide notice where practical and lawful.
12. Intellectual property
Webinku and its licensors own the service, software, branding, interfaces, and documentation. These Terms do not transfer that ownership. Feedback may be used without restriction, but we will not treat your confidential business content as public feedback.
13. Disclaimers
To the maximum extent permitted by law, the service is provided “as is” and “as available.” Webinku does not guarantee uninterrupted operation, a specific business outcome, legal compliance for your particular use, or that AI output will always be accurate. Nothing in the service is legal, medical, financial, or other professional advice.
14. Liability
To the maximum extent permitted by applicable law, Webinku will not be liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages arising from the service. Any aggregate liability will be limited to the amount you paid Webinku for the affected service during the twelve months before the event giving rise to the claim. Rights that cannot lawfully be limited remain unaffected.
15. Indemnity
You will defend and indemnify Webinku against third-party claims arising from your content, unlawful or unauthorized use, customer communications, products or services, or breach of these Terms, except to the extent caused by Webinku’s own unlawful conduct.
16. Governing law and contact
These Terms are governed by the laws of the State of Kuwait, without regard to conflict-of-law rules. Courts of competent jurisdiction in Kuwait will have jurisdiction, subject to any mandatory consumer rights. Questions may be sent to hello@webinku.com.
17. Changes
We may update these Terms as the service and law evolve. Material changes will be communicated through the service or another appropriate channel. The effective date and version appear at the top of this page.
